Gizmoz of San Francisco and Daz 3D of Draper, Utah have merged, in order to form a combined online marketplace for inter-compatible digital characters and accessories. No financial terms were disclosed. Gizmoz had raised around $37 million, from Benchmark Capital, Columbia Capital, DoCoMo Capital and NGI Capital. Daz had raised just over $4 million from Highway 12 Ventures.

Silence Therapeutics PLC (AIM: SLN) has agreed to merge with Intradigm Corp., a Palo Alto, Calif.-based developer of RNAi therapeutics. Intradigm previously raised around $42 million in VC funding from firms like Alta Partners, Frazier Healthcare, Lilly Ventures, Roche Finance and Astellas Venture. Those firms now hold a 36.6% stake in the combined company, and agreed to invest £5 million in new capital.

Knowledge Networks, a Menlo Park, Calif.-based provider research to media and advertising companies, has acquired Caduceus Marketing Research, a Mt. Arlington, N.J.-based provider of market research services to pharmaceutical manufacturers. No financial terms were disclosed. Knowledge Networks has raised an undisclosed amount of VC funding from Alloy Ventures, Maveron, Meritech Capital Partners, Oak Hill Venture Partners and Oak Investment Partners.

Cell Biosciences, a Palo Alto, Calif.-based provider of nanoproteomic analysis systems to life science researchers, has acquired Protein Forest, a Lexington, Mass.-based provider of sample preparation technology for proteomic analysis and biomarker discovery. No financial terms were disclosed. Cell Biosciences has raised around $60 million in VC funding from firms like The Wellcome Trust, Domain Associates, Latterell Venture Partners, Novo A/S, Mitsui Ventures, Royal Bank of Canada and The Vertical Group. Protein Forest had raised around $27 million from Boston Millennia Partners, Flybridge Capital Partners, Novo AS, PureTech Ventures and S.R. One Ltd.

Punchbowl Software Inc., a Framingham, Mass.-based operator of an party-planning website, has acquired I’m In! (imin.com), a site for group travel and local trip ideas, from GroupGo LLC. No financial terms were disclosed. Punchbowl had raised over $2.1 million in VC funding from Contour Venture Partners, Intel Capital and eCoast Angels.

Bioniche Pharma, an injectable drugmaker owned by Roundtable Healthcare Partners, has acquired Duraclon (clonidine hydrochloride injection) and Methadone Hydrochloride Injection USP from Xanodyne Pharmaceuticals Inc. No financial terms were disclosed. Xanodyne has raised over $230 million in VC funding, from firms like AIG Investments, Aisling Capital, Blue Chip Venture Co., Essex Woodlands Health Ventures, HealthCare Ventures, MPM Capital and Union Springs.

GigOptix Inc. (OTCBB: GGOX) has agreed to acquire ChipX, Santa Clara, Calif.-based provider of ASIC products. ChipX investors will receive 3.5 million common shares of GigOptix stock, currently valued at approximately $12.25 million and representing a 26% stake in GigOptix. ChipX has raised approximately $65 million in total VC funding, including a recap in 2004. Current backers include Elron Electronic Industries, Needham Asset Management, Newlight Associates, Parker Price Venture Capital, UMC Capital, VantagePoint Venture Partners and Wasserstein Ventures.
